1.1 The World vs.MS (hereafter: “TWvsMS”) is a large-scale initiative developed by Sanofi Genzyme, that aims to drive meaningful and lasting change in the lives of people living with multiple sclerosis (MS) and those who support them. By understanding their challenges, connecting people and driving innovation, Sanofi Genzyme’s mission is to improve their everyday life.
1.2 TWvsMS is initiated and organized by Genzyme Europe B.V., located in Naarden, the Netherlands, an affiliate of the French parent company Sanofi S.A. (hereafter: “Sanofi Genzyme”).
1.3 General information in relation to TWvsMS, Sanofi Genzyme and the partners who support TWvsMS (hereafter: the “Partners”) can be found at the website www.TheWorldvsMS.com (hereafter: the “Website”).
1.4 Sanofi Genzyme has involved Creative Lynx Ltd., located in Maidstone, the United Kingdom, trading under the name H4B Manchester (hereafter: “H4B”), to operate and manage TWvsMS on its behalf. H4B may involve third parties to perform certain tasks for TWvsMS.
1.5 Your participation in TWvsMS shall be governed by these Terms and Conditions. Sanofi Genzyme has the right to change these Terms and Conditions any time for any reason and without further notice. It is therefore recommended that you check these Terms and Conditions on a regular basis.
1.6 Participation in TWvsMS is open to individuals over the age of 21, organisations and companies. Any party or individual submitting a challenge and/or idea as set out below, will be considered a “Participant”. Ideas can only be submitted by Participants that are residing in Europe.
1.7 Employees of the Sanofi group of companies and of the Partners and their group companies as well as their direct relatives and others who are directly involved in the organization of TWvsMS, are excluded from participation.
1.8 Communications and/or correspondence from Sanofi Genzyme, H4B and/or the Partners with respect to TWvsMS shall be either in English, French, Dutch, German, Spanish or Italian. Submissions of challenges and ideas can also be submitted in other languages. Sanofi Genzyme and H4B have the right to translate, edit, shorten and revise submissions.
1.9 Sanofi Genzyme may unilaterally terminate TWvsMS at any time for any reason.
2. STAGES OF TWVSMS
2.1 TWvsMS consist of different stages:
(a) Submission of real life every day challenges of living with MS
(b) Shortlisting of challenges by a Judging Panel and publication of shortlisted challenges on the Website
(c) Submission of ideas addressing the selected challenges
(d) Shortlisting of potential winning ideas by Judging Panel and publication on the Website
(e) Public voting of winning idea
(f) Development of the winning idea into an actual solution that has the potential to benefit the MS Community
2.2 The rules for the different stages are set out below.
3. SUBMISSION AND SHORTLISTING OF CHALLENGES
3.1 A challenge shall meet the criteria defined on the Website.
3.2 Participants can only submit a challenge using the entry form on the Website. Participants shall include all requested information listed in the entry form. Only complete entry forms will be processed.
3.3 Submitted challenges will be reviewed. Following acceptance, they will be published on the Website and via social media. Sanofi Genzyme has the right to refuse publication of challenges that do not meet the criteria defined on the Website or for other reasons.
3.4 The deadline to submit challenges is published on the Website.
3.5 Costs in relation to the submission of a challenge shall be borne by the Participant.
3.6 A judging panel consisting of representatives of Sanofi Genzyme and the Partners (hereafter: the “Judging Panel”) will shortlist the challenges to a final three. Decisions of the Judging Panel are final. There shall be no correspondence on the method of judging and the outcome of the judging process.
3.7 Participants that have submitted a shortlisted challenge will be contacted by H4B and may be required to enter into a separate participation agreement. If a challenge has been submitted for which a solution already exists Participants may be informed.
3.8 The shortlisted challenges will be presented in a (video) brief that is going to be published on the Website and via social media. Participants that have submitted a shortlisted challenge will be required to cooperate in the preparation of a (video) brief setting out the details of the challenge. Such preparation may involve interviews, taking pictures or recording of videos, making of a storyboard as well as (email) correspondence and meetings with H4B, Sanofi Genzyme and/or the Partners.
3.9 The name of the Participants that have submitted a shortlisted challenge as well as their pictures may be published on the Website and in other media that H4B and/or Sanofi Genzyme deem appropriate. Participants that have submitted a shortlisted challenge shall also take part in press and media engagements surrounding TWvsMS.
4. SUBMISSION AND SHORTLISTING OF IDEAS
4.1 After the shortlisted challenges have been published on the Website, ideas can be submitted by Participants containing potential solutions for those challenges. The deadline to submit ideas is published on the Website.
4.2 The Website will provide further information on how ideas can be submitted, what type of ideas are supposed to be submitted, the format of submissions, possibility to enclose images and/or videos. Incomplete submissions of ideas will be refused. Sanofi Genzyme also has the right to refuse ideas that do not meet the criteria defined on the Website or for other reasons.
4.3 The Participant warrants in relation to the idea that:
(a) the idea and all eventual intellectual property rights belong to the Participant;
(b) the idea does not infringe any intellectual property rights of third parties;
(c) the idea has been exclusively submitted to TWvsMS and not to other parties.
4.4 Participants will be required to complete a due diligence questionnaire as part of the shortlisting process. Sanofi Genzyme may deny further participation on the basis of the outcome of the due diligence process.
4.5 The Judging Panel will shortlist the ideas to a final three. Decisions of the Judging Panel are final. There shall be no correspondence on the method of judging and the outcome of the judging process.
4.6 Costs in relation to the submission of an idea shall be borne by the Participant.
5. PUBLIC VOTING AND SELECTION OF WINNING IDEA
5.1 Participants that have submitted a shortlisted idea will be contacted by H4B and may be required to enter into a separate participation agreement.
5.2 Participants that have submitted a shortlisted idea will be required to cooperate with H4B and the Participant that has submitted the respective challenge to create a short video which summarizes the idea and how it will benefit the MS community. This video will subsequently be published on the Website and via social media.
5.3 On the Website the videos and a short description of the shortlisted ideas will be published for online voting.
5.4 The idea that generates the most votes will be the winner of TWvsMS (hereafter: “the Winner”).
5.5 The name of the Winner as well as pictures of that Participant may be published on the Website and in other media that H4B and/or Sanofi Genzyme deem appropriate. The Winner shall also take part in activities surrounding TWvsMS, such as a prize giving, press conference, interviews etc. The Winner will be timely informed about such activities by H4B and/or Sanofi Genzyme.
6. DEVELOPMENT OF THE WINNING IDEA
6.1 Sanofi Genzyme provides a grant of up to EUR 100.000 via one the Partners over a period of 18 months to develop the idea into an actual solution that has the potential to benefit the MS Community. In addition, the Winner will have, during the same period, access to support, mentorship and connections of the Partners.
6.2 The grant will be made available via one of the Partners designated by Sanofi Genzyme. All payments will go through this Partner. The Winner is not personally entitled to the grant or to payments in cash.
6.3 The Winner is expected to put serious efforts into the development of the winning idea into an actual solution that has the potential to benefit the MS Community. To that effect the Winner will set up a development plan together with the designated Partner. The Winner will be invited to a meeting with the Judging Panel where the development plan shall be presented and the final amount of the grant will be determined by the Judging Panel.
6.4 The Winner will be entitled to any revenues resulting from advancement of the winning idea.
6.5 Sanofi Genzyme has the right to stop further payment of the grant in case the Participant does not put sufficient effort into the development an actual solution that is supposed to benefit the MS Community or in case of other legitimate reasons, such as negative publicity, fraud or misuse of the grant.
7. INTELLECTUAL PROPERTY & PUBLICITY
7.1 Intellectual property rights in relation to the submission of a challenge and/or an idea remain with the Participant submitting the respective challenge and/or idea.
7.2 Sanofi Genzyme and H4B have a perpetual and worldwide right to use, store and give publicity to all submitted challenges and ideas for purposes related to TWvsMS. Such publicity may include publication on the internet, via television and radio and at conferences and seminars, but is not limited thereto.
7.3 Sanofi Genzyme and H4B have the right to quote texts of Participants and to use pictures and/or videos of a Participant (whether or not originating from a Participant).
8. DATA PRIVACY
8.1 To manage and administer participation in TWvsMS, Sanofi Genzyme (or H4B on behalf of Sanofi Genzyme) may process personal data (such as names and contact details) that participants provide in relation to TWvsMS. Such personal data shall not be kept longer than necessary to manage and administer participation to TWvsMS.
8.2 Participants may, at any time, contact Sanofi Genzyme via the ‘Contact Us’ link within the Website to receive further information about the processing of personal data, and to enforce their rights of access, correction and withdrawal.
9. LIMITATION OF LIABILITY
9.1 Sanofi Genzyme, H4B and the Partners shall not be liable for any damages of Participants resulting from participation in TWvsMS.
9.2 Sanofi Genzyme, H4B and the Partners shall not be liable for any damages resulting from or related to products and/or services developed and/or put on the market as a result of a Participant’s participation in TWvsMS.
10.1 Sanofi Genzyme decides on all matters not covered by these Terms and Conditions.
10.2 The English language version of these Terms and Conditions prevails over any other language versions thereof.
11. GOVERNING LAW & FORUM CHOICE
11.1 These Terms and Conditions and your participation in TWvsMS are governed by Dutch law.
11.2 Disputes in relation to TWvsMS and/or these Terms and Conditions that cannot be solved amicably shall be exclusively brought before the district court in Amsterdam, the Netherlands.
