1.1 The World vs.MS (hereafter: “TWvsMS”) is a large-scale initiative developed by Sanofi Genzyme, that aims to drive meaningful and lasting change in the lives of people living with multiple sclerosis (MS) and those who support them.
1.2 TWvsMS is initiated and organized by Genzyme Europe B.V., located in Naarden, the Netherlands, an affiliate of the French parent company Sanofi S.A. (hereafter: “Sanofi Genzyme”).
1.3 General information in relation to TWvsMS and Sanofi Genzyme can be found at the website www.TheWorldvsMS.com (hereafter: the “Website”).
1.4 Sanofi Genzyme has involved Creative Lynx Ltd., located in Maidstone, the United Kingdom, trading under the name H4B Manchester (hereafter: “H4B”), to operate and manage TWvsMS on its behalf. H4B may involve third parties to perform certain tasks for TWvsMS.
1.5 Sanofi Genzyme has involved Newly Ltd., located in London, the United Kingdom, trading under the name Evidently (hereafter: “Evidently”), to operate and manage the creation of the final videos on its behalf. Evidently may involve third parties to perform certain tasks for TWvsMS.
1.6 Your participation in TWvsMS shall be governed by these Terms and Conditions. Sanofi Genzyme has the right to change these Terms and Conditions any time for any reason and without further notice. It is therefore recommended that you check these Terms and Conditions on a regular basis.
1.7 Participation in TWvsMS is open to individuals over the age of 18, organizations and companies. Any party or individual submitting a story as set out below, will be considered a “Participant”. Stories can only be submitted by Participants that are residing in Europe.
1.8 Employees of the Sanofi group of companies as well as their direct relatives and others who are directly involved in the organization of TWvsMS, are excluded from participation.
1.9 Communications and/or correspondence from Sanofi Genzyme, H4B and/or Evidently with respect to TWvsMS shall be either in English, French, Dutch, German, Spanish or Italian. Stories can also be submitted in other languages. Sanofi Genzyme, H4B, and Evidently have the right to translate, edit, shorten and revise submissions.
1.10 Sanofi Genzyme may unilaterally terminate TWvsMS at any time for any reason.
2. STAGES OF TWVSMS
2.1 TWvsMS consist of different stages:
(a) Submission and publication on the Website of real life stories demanding more from a life with MS (hereafter: “Stories”).
(b) Selection of Stories for development of videos for online and offline use and publication in any country of the world (hereafter: “Videos”).
(c) Development and publication of the final Videos.
2.2 The rules for the different stages are set out below.
3. SUBMISSION AND PUBLICATION OF STORIES ON THE WEBSITE
3.1 Participants can only submit a Story using the entry form on the Website. Participants shall include all requested information listed in the entry form. Only complete entry forms will be processed.
3.2 All submitted Stories will be reviewed for meeting the criteria defined on the Website. From the Stories that meet these criteria, a limited number will be published by Sanofi Genzyme on the Website and via social media. How many Stories will be published, and which ones, will be decided by Sanofi Genzyme.
3.3 The deadline to submit Stories is published on the Website and via social media.
3.4 Costs in relation to the submission of a Story shall be borne by the Participant.
3.5 The name of the Participants that have submitted a Story as well as their pictures may be published on the Website and in other (social) media that H4B, Evidently, and/or Sanofi Genzyme deem appropriate.
4. SELECTION OF STORIES FOR DEVELOPMENT OF VIDEOS
4.1 Within two months after the deadline for submission of Stories has passed, TWvsMS Steering Committee, a team of trusted advisors, who either live with MS or have an expertise in this area, will select one Story for development into a Video. In addition, Sanofi Genzyme and/or its affiliated companies (hereafter: “Affiliates”) may also select Stories for development into a Video. Decisions made by the Steering Committee and, as the case may be, Sanofi Genzyme and/or its Affiliates will be based on set criteria and are final. There shall be no correspondence on the method of selection and the outcome of the selection process.
4.2 The name of the Participants that have submitted a selected Story as well as their pictures may be published on the Website and in other (social) media that H4B, Evidently, and/or Sanofi Genzyme deem appropriate.
5. THE DEVELOPMENT AND USE OF VIDEOS
5.1 Participants that have submitted a selected Story will be contacted by H4B and/or Evidently. These Participants are expected to cooperate in the development of a Video and take part in press and media engagements surrounding TWvsMS. This may involve that the Participant is asked to complete interviews, have pictures taken, participate in recording of videos, be involved in the creation of a storyboard as well as maintain correspondence and attend meetings with H4B, Evidently and/or Sanofi Genzyme.
5.2 The final Videos will be published on the Website, via social media and through other channels, which may include, but not be limited to, television, radio, conferences and seminars.
5.3 Participants may be required to enter into separate arrangements with H4B, Evidently and/or Sanofi Genzyme regarding the activities described in paragraphs 5.1 and 5.2 above.
6. INTELLECTUAL PROPERTY & PUBLICITY
6.1 The Participant grants Sanofi Genzyme, H4B, and Evidently a perpetual and worldwide right to use, edit, store, publish and promote all submitted Stories and developed Videos for purposes related to TWvsMS. Such publicity may include publication of Stories and/or Videos on the internet, via social media, television and radio and at conferences and seminars, but is not limited thereto.
6.2 Sanofi Genzyme, H4B and Evidently have the right to quote texts of Participants and to use pictures and/or videos of a Participant (whether or not originating from a Participant).
7. DATA PRIVACY
7.1 To manage and administer participation in TWvsMS, Sanofi Genzyme, H4B and/or Evidently, on behalf of Sanofi Genzyme, may process personal data (such as names, contact details, your Story and other information provided by you) that Participants provide in relation to their participation in TWvsMS. The providing of all data is voluntary; however not providing data (such as your name) may prevent you from being able to participate in TWvsMS.
7.2 Our processing of your personal data is based on our legitimate business interest, to allow your participation in TWvsMS and for us to manage and administer TWvsMS and contact you if needed. We may ask you consent during your participation in TWvsMS to process your personal data if needed by applicable law.
7.3 Your personal data shall not be kept in an identifiable form longer than necessary to manage and administer participation to TWvsMS.
7.4 You may, at any time, contact Sanofi Genzyme via the ‘Contact Us’ link within the Website to receive further information about the processing of personal data, and to enforce your rights of access to or rectification or erasure of personal data, restriction of or objection to processing, as well as the right to data portability. You can also contact Sanofi Genzyme or your local data protection authority in the event you wish to file a complaint about our processing of your personal data.
7.5 We will only transfer your personal data to countries outside of the European Union, if the recipients provide for an adequate level of protection, for instance by means of standard contractual clauses as approved by the European Commission. Please contact us via the ‘Contact Us’ link within the Website to obtain more information on our processing of your personal data.
8. LIMITATION OF LIABILITY
8.1 Sanofi Genzyme, H4B and Evidently shall not be liable for any damages of Participants resulting from participation in TWvsMS.
9.1 Sanofi Genzyme decides on all matters not covered by these Terms and Conditions.
9.2 The English language version of these Terms and Conditions prevails over any other language versions thereof.
10. GOVERNING LAW & FORUM CHOICE
10.1 These Terms and Conditions and your participation in TWvsMS are governed by Dutch law.
10.2 Disputes in relation to TWvsMS and/or these Terms and Conditions that cannot be solved amicably shall be exclusively brought before the district court in Amsterdam, the Netherlands.
